1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of websites, mobile applications, and digital services operated by Deveur Labs LLC ("Deveur Labs", "we", "our", or "us"), including Genius, published on the App Store as genius-memory (collectively, the "Services").
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
The Services provide educational, personal growth, knowledge management, revision, note-taking, and AI-assisted learning features. Features may include cards, summaries, quizzes, revision chats, learning plans, content generation, uploads, sharing, subscriptions, and related tools. We may modify, suspend, discontinue, or limit any feature at any time.
3. Eligibility
You must be at least 13 years old, or the minimum legal age required in your jurisdiction, to use the Services. If you are under 18, you may use the Services only with permission from a parent or legal guardian.
4. Accounts and security
Some features require an account. You are responsible for:
- Providing accurate account information.
- Maintaining the confidentiality of your login credentials.
- All activity under your account.
- Promptly notifying us of unauthorized access or security issues.
We may suspend, restrict, or terminate accounts that violate these Terms, create risk, or harm the Services or other users.
5. User content
"User Content" means content that you create, upload, import, submit, generate, store, send, or share through the Services, including text, cards, notes, prompts, messages, images, screenshots, audio, profile information, bug reports, comments, and shared learning content.
You retain ownership of your User Content, subject to the license you grant below.
You represent and warrant that:
- You own your User Content or have the rights needed to use it in the Services.
- Your User Content does not infringe copyright, trademark, privacy, publicity, contractual, or other rights.
- Your User Content does not violate applicable law or these Terms.
- You will not upload private or sensitive information about another person without proper authorization.
6. License to User Content
You grant Deveur Labs a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and modify User Content only as needed to:
- Provide and operate the Services.
- Sync content across your devices.
- Enable features you request, including sharing and AI features.
- Troubleshoot, secure, and improve the Services.
- Comply with legal obligations.
If you choose to share User Content with another user, you grant us the rights needed to make that content available to the selected user or audience.
This license ends when your User Content is deleted from our active systems, except where retention is reasonably necessary for backups, legal compliance, security, dispute resolution, or where another user has already received or saved shared content.
7. Prohibited content and conduct
- Do not use the Services for unlawful, harmful, fraudulent, abusive, harassing, or deceptive purposes.
- Do not upload or share content that infringes intellectual property or privacy rights.
- Do not upload malware, harmful code, or content intended to disrupt systems.
- Do not attempt to access accounts, systems, data, or features without authorization.
- Do not reverse engineer, decompile, scrape, overload, or interfere with the Services.
- Do not use the Services to generate or distribute spam, scams, phishing, or misleading content.
- Do not use AI features to create content that violates law, third-party rights, or these Terms.
- Do not misrepresent your identity, affiliation, or the origin of content.
- Do not circumvent usage limits, subscriptions, security controls, or access restrictions.
8. AI features and generated output
The Services may include AI-powered features that can generate summaries, explanations, cards, quizzes, recommendations, messages, or other output.
You understand and agree that:
- AI output may be inaccurate, incomplete, outdated, offensive, or unsuitable for your purpose.
- You are responsible for reviewing AI output before relying on it, publishing it, or sharing it.
- AI output is not legal, medical, financial, psychological, academic, or professional advice.
- You should not submit confidential, sensitive, regulated, or third-party information unless you have the right to do so and the submission is necessary for the feature.
- We may enforce limits, disable features, or refuse processing to protect users, third parties, and the Services.
Subject to these Terms and applicable law, you may use AI output generated for you through the Services. You are responsible for ensuring that your use of output does not violate any law or third-party right.
9. Copyright and takedown requests
We respect intellectual property rights and expect users to do the same.
If you believe content available through the Services infringes your copyright, you may contact us at contact@deveurlabs.com with:
- Your name and contact information.
- Identification of the copyrighted work you claim has been infringed.
- Identification of the allegedly infringing content and where it appears.
- A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in your notice is accurate.
- Your physical or electronic signature.
We may remove or restrict access to content in response to valid notices and may terminate repeat infringers where appropriate. If Deveur Labs designates a DMCA agent with the U.S. Copyright Office, the official agent information should be published here and used for formal DMCA notices.
10. Moderation and enforcement
We may, but are not obligated to, review, remove, restrict, or disable access to User Content or accounts if we believe they violate these Terms, create legal risk, harm users, or threaten the integrity of the Services. We may also preserve or disclose information when required by law or when reasonably necessary to protect rights, safety, security, or the Services.
11. Sharing and social features
The Services may allow you to share content, progress, cards, profile information, or messages with other users. You are responsible for what you share and with whom you share it. Shared content may be viewed, saved, copied, or acted on by recipients depending on the feature. Do not share content that you are not authorized to share.
12. Subscriptions, purchases, and cancellation
Some features may require payment through subscriptions or in-app purchases.
Unless otherwise stated, purchases are processed by official app marketplaces, such as the Apple App Store or Google Play Store. Deveur Labs does not directly process or store full payment card information.
Prices, renewal terms, free trial terms, refunds, billing issues, and cancellation are governed by the applicable marketplace terms and checkout flow.
For Apple subscriptions, you can manage or cancel your subscription through your Apple account subscription settings, including at https://apps.apple.com/account/subscriptions.
Cancellation takes effect according to the marketplace rules. Deleting the app or deleting your account may not automatically cancel an active marketplace subscription.
13. Privacy
Our Privacy Policy explains how we collect, use, store, and share information. By using the Services, you acknowledge our Privacy Policy.
14. Intellectual property
The Services, including software, designs, interfaces, trademarks, logos, text, graphics, and other materials provided by Deveur Labs, are owned by Deveur Labs or its licensors and are protected by intellectual property laws. Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Services or our intellectual property.
15. Feedback
If you submit feedback, ideas, suggestions, or improvements, you grant us the right to use them without restriction or compensation to you.
16. Third-party services
The Services may rely on or link to third-party services, including app marketplaces, authentication providers, analytics providers, crash reporting tools, cloud hosting, storage providers, and AI providers. We are not responsible for third-party services, and your use of them may be governed by their own terms and policies.
17. Account deletion
You may request deletion of your account through the app or by contacting us. Account deletion is handled as described in our Privacy Policy. Deleting your account may remove access to your profile, learning data, and stored content, but it may not cancel active marketplace subscriptions. You must cancel subscriptions through the applicable marketplace. Some information may remain where required by law, needed for security, stored in backups, or already shared with another user.
18. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, secure, accurate, or available at all times. We do not guarantee that educational, AI-generated, or user-generated content will be accurate, complete, or suitable for your needs.
19. Limitation of liability
To the maximum extent permitted by law, Deveur Labs and its officers, directors, employees, affiliates, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, or service interruption, arising out of or related to your use of the Services. Where liability cannot be excluded, our liability is limited to the maximum extent permitted by applicable law.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Deveur Labs from claims, damages, liabilities, losses, and expenses arising from:
- Your use or misuse of the Services.
- Your User Content.
- Your violation of these Terms.
- Your violation of law or third-party rights.
21. Termination
You may stop using the Services at any time. We may suspend, restrict, or terminate your access to the Services at any time if we believe you violated these Terms, created risk, caused harm, or exposed us or others to potential liability. After termination, provisions that by their nature should survive will remain in effect, including ownership, licenses already granted for operation and legal compliance, disclaimers, limitation of liability, indemnification, and governing law.
22. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Services will be brought exclusively in the courts located in Wyoming, unless applicable law requires otherwise.
23. Changes to these Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date and may provide additional notice where required. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
